Delivery Terms<\/strong><\/p>\n\n\n\n
1. Kohaldatavus<\/p>\n
    \n
  • 1.1 Need \u00fcldised m\u00fc\u00fcgitingimused (\u201cTingimused\u201d) kehtivad ja moodustavad lahutamatu osa k\u00f5ikidest pakkumistest, pakkumistest, tellimuste kinnitustest ja lepingutest, mille BALTCOM OU (\u201cBALTCOM\u201d v\u00f5i \u201cM\u00fc\u00fck\u201d) on ostjaga (\u201cOstja\u201d) allkirjastanud seos BALTCOMi poolt toodete (\u201cTooted\u201d) m\u00fc\u00fcgi ja ostja ostmisega.<\/li>\n
  • 1.2 K\u00f5igi tingimuste muudatuste osas peavad BALTCOM ja ostja (edaspidi \u201cpooled\u201d) kokku leppima ja need kirjalikult heaks kiitma.<\/li>\n<\/ul>\n

     <\/p>\n

    2. M\u00fc\u00fcgiakt<\/p>\n

      \n
    • 2.1 Toodete m\u00fc\u00fcgitaotlus v\u00f5etakse vastu \u201cm\u00fc\u00fcja n\u00f5usolekul\u201d ja seda loetakse t\u00fchistamatuks 1 (\u00fche) kuu jooksul alates tellimuse kuup\u00e4evast. Seda taotlust k\u00e4sitletakse ilma eelneva n\u00f5usolekuta t\u00e4itmistaotlusena alates kuup\u00e4evast, mil BALTCOM saab korralduse.<\/li>\n
    • 2.2 Eraldiseisvates tellimustes m\u00e4rgitud tooted ja nendega seotud lisaseadmed tarnib ostjale BALTCOM ostjale \u201comandi\u00f5iguse s\u00e4ilimisega\u201d; sel juhul l\u00e4heb toodete pealkiri ostjale \u00fcle alles siis, kui toodete ostuhind on t\u00e4ielikult tasutud, samas kui toodete kaotamise v\u00f5imaliku riski eest vastutab ostja alates toodete \u00fcleandmisest. BALTCOMi poolt isegi vedajale vastavalt kokkulepitud INCOTERMSile.<\/li>\n
    • 2.3 Vaatamata eeltoodule lepivad pooled kokku, et toodetele ja nende tarvikutele p\u00f5hjustatud kahju, mis ei ole seotud BALTCOMiga, ei vabasta ostjat maksmise kohustusest ka juhul, kui tooteid pole veel tarnitud Ostja.<\/li>\n
    • 2.4 BALTCOM j\u00e4tab endale \u00f5iguse oma tooteid igal ajal ilma ette teatamata turult muuta v\u00f5i turult k\u00f5rvaldada.<\/li>\n<\/ul>\n

       <\/p>\n

      3. Hinnad<\/p>\n

        \n
      • 3.1 Selle loendi hindasid kohaldatakse Toodete tellimustele, noteeringutele ja ostulepingutele, nimetatud hinnad kehtivad \u00fcksikute \u00fchikute kohta, v\u00e4lja arvatud m\u00f5ne toote puhul, kui hinnakirjas on teisiti t\u00e4psustatud. Pooltel on \u00f5igus erandite ja \/ v\u00f5i eritingimuste osas kirjalikult kokku leppida.<\/li>\n
      • 3.2 Lepinguosalised lepivad kokku ka j\u00e4rgmiste tingimuste t\u00e4itmises:
        \n(I) minimaalne tellimus 750 eurot (seitsesada viisk\u00fcmmend) v\u00e4lismaale;
        \n(II) Kui tellimused v\u00f5etakse vastu alla 750 (seitsesada viisk\u00fcmmend) eurot, v\u00f5etakse nende vastuv\u00f5tmise korral lisatasu 50 (viisk\u00fcmmend) eurot;
        \n(III) tarne FCA (INTERCOMS);<\/li>\n
      • 3.3 \u00dclaltoodud hinnad ei sisalda k\u00e4ibemaksu ja toodete paigalduskulusid.<\/li>\n<\/ul>\n

         <\/p>\n

        4. Valuuta<\/p>\n

          \n
        • Hinnad on v\u00e4ljendatud eurodes (ilma k\u00e4ibemaksuta). Arved v\u00e4ljastatakse eurodes.<\/li>\n<\/ul>\n

           <\/p>\n

          5. Eritellimused<\/p>\n

            \n
          • Tooteid saab ostjale tarnida mittestandardsete v\u00e4rvidega ja eritellimustega. Hind, minimaalne tellimiskogus ja tarneajad ning tingimused lepitakse igal konkreetsel juhul eraldi kokku vastavalt tellimusele ja \/ v\u00f5i pakkumisele.<\/li>\n<\/ul>\n

             <\/p>\n

            6. Transport<\/p>\n

              \n
            • 6.1 BALTCOM ei v\u00f5ta endale vastutust seoses transpordil olevate toodete kahjustuste ja \/ v\u00f5i kadumisega, v\u00e4lja arvatud juhul, kui tooted tarnitakse kohale.<\/li>\n
            • 6.2 BALTCOMil on \u00f5igus kehtestada toodete transpordimeetod, v\u00e4lja arvatud juhul, kui lepinguosalised on veoviisi varem kirjalikult kehtestanud.<\/li>\n
            • 6.3 Ostja kohustub toodete tarnimisel kontrollima toodete seisukorda ja esitama mis tahes pretensioonid ja \/ v\u00f5i toimingud otse kullerile toodete kadumise, varguse, kahjustuse v\u00f5i viivituse korral toodete ja \/ v\u00f5i tarnemeetodite korral.<\/li>\n<\/ul>\n

               <\/p>\n

              7. Kaebused<\/p>\n

                \n
              • 7.1 Juhul, kui ostja tuvastab toodetes rikkeid ja \/ v\u00f5i puudusi, kohustub ostja saatma BALTCOM-ist sellekohase kirjaliku teate kirjaliku kohaletoimetamise teel hiljemalt 8 (kaheksa) p\u00e4eva jooksul alates kauba k\u00e4ttesaamisest, trahvi m\u00e4\u00e4ramisel BALTCOM garantiitingimuste kaotamine. Sel juhul tuleb n\u00f5uetele vastavaks m\u00e4rgitud v\u00e4idetavalt defektsed tooted, mis on tehtud kindlaksm\u00e4\u00e4ratud t\u00e4htaja jooksul, tagastada BALTCOM-ile, kui ostja on saanud BALTCOMilt sellekohase konkreetse kirjaliku loa.<\/li>\n
              • 7.2 Ostja ei saa kaebust esitada, kui kaebuses nimetatud sama kauba eest ei ole tasutud t\u00e4ies ulatuses.<\/li>\n
              • 7.3 Kui ostja esitatud kaebus tunnistatakse kehtivaks, v\u00f5ib BALTCOM teha vajalikud remondit\u00f6\u00f6d ja \/ v\u00f5i asendada tooted oma \u00e4ran\u00e4gemise j\u00e4rgi, v\u00e4listades BALTCOMi suhtes muud tasud, kohustused v\u00f5i h\u00fcvitised. Tagastatavad tooted tuleb saata BALTCOM OU tehasesse Via Pratese nr.164 Tallinnas.<\/li>\n
              • 7.4 Kui ostja tagastatud toodetel ei leita p\u00e4rast kontrollimist puudusi ega \/ v\u00f5i puudusi, reserveerib BALTCOM haldustegevuse v\u00f5lateate 50 eurot; defektsed tooted j\u00e4\u00e4vad kliendi k\u00e4sutuses 30 p\u00e4evaks, p\u00e4rast mida BALTCOM j\u00e4tab endale \u00f5iguse neid utiliseerida.<\/li>\n<\/ul>\n

                 <\/p>\n

                8. Kohaletoimetamine<\/p>\n

                  \n
                • 8.1 Pooled lepivad kokku, et toodete tarnimiseks kehtestatud tingimusi ei tohi pidada kohustuslikeks ega siduvateks ning igal juhul on k\u00f5ik tingimused m\u00f5eldud \u00fcksnes BALTCOMi kasuks, kui lepinguosalised ei ole kirjalikult teisiti kokku leppinud.<\/li>\n
                • 8.2 Kui kohaletoimetamine viibib, saab ostja 15 (viisteist) p\u00e4eva jooksul p\u00e4rast kokkulepitud kohaletoimetamise kuup\u00e4eva saata BALTCOMile kirjaliku teate tarnimise t\u00e4itmise kohta v\u00e4hemalt 15 (viisteist) p\u00e4eva jooksul p\u00e4rast sama teate saamist. Kui sellest hilisemast t\u00e4htajast ei peeta kinni ja BALTCOM ei ole ikka veel tarnimist j\u00e4rginud, saab ostja toodete, mida ei ole tarnitud, tellimusest taganeda. Sel juhul peab ostja maksma BALTCOMi ainult tegelikult tarnitud toodete eest, va ostjale h\u00fcvitised ja \/ v\u00f5i h\u00fcvitised.<\/li>\n
                • 8.3 BALTCOM ei vastuta toodete tarnimata j\u00e4tmise v\u00f5i kohaletoimetamise viibimise eest, mis on tingitud s\u00fcndmustest, mis on v\u00e4ljaspool nende m\u00f5istlikku kontrolli, sealhulgas, kuid mitte ainult, tarnimata j\u00e4tmine v\u00f5i viivitused tarnijate t\u00f6\u00f6tlemismaterjalide tarnimisel, tehase rikkeid, streike ja muid t\u00f6\u00f6stuslikke tooteid tegevus, elektrikatkestused ja transpordi katkestused v\u00f5i raskused.<\/li>\n
                • 8.4 Kui ostjal ei \u00f5nnestu tellitud tooteid kohale toimetada, on BALTCOMil \u00f5igus usaldada toodete ostja kulul ladustamine.<\/li>\n<\/ul>\n

                   <\/p>\n

                  9. Makse<\/p>\n

                    \n
                  • 9.1 Hinna peab ostja tasuma vastavalt tellimuses t\u00e4psustatud tingimustele ja tasuma ainult BALTCOM OU-le kuuluvad maksed. \u201d<\/li>\n
                  • 9.2 BALTCOM tunnistab maksete kehtivust ainult juhul, kui need on tehtud vastavalt eelmise artikli 9.1 s\u00e4tetele; see t\u00e4hendab, et muul viisil tehtud makseid ostja ei loe. Mis tahes eeln\u00f5ude v\u00f5i muude kaubandusm\u00f5jude aktsepteerimine BALTCOMi poolt loetakse l\u00f5ppenuks koos klausliga \u201cvastavalt l\u00f5ppmaksele\u201d.<\/li>\n
                  • 9.3 Kui makstakse p\u00e4rast kindlaksm\u00e4\u00e4ratud tingimusi, lepivad lepinguosalised kokku, et BALTCOM saab kehtivaid pangaintressim\u00e4\u00e4rasid. Intresside eest makstakse seadusega, ilma et BALTCOM peaks ostjale ametlikku teadet saatma.<\/li>\n
                  • 9.4 Lisaks on BALTCOM-il makseviivituste korral, mis \u00fcletavad 15 (viisteist) p\u00e4eva, vastavalt Eesti tsiviilseadustiku artiklile 1456 \u00f5iguse korraldusest loobuda, saates selleks kirjaliku teate, v\u00e4lja arvatud h\u00fcvitiste maksmise korral.<\/li>\n
                  • 9.5 Juhul kui pooled lepivad kokku maksete tegemise viisi osas osade kaupa, t\u00e4hendab osamaksete tasumata j\u00e4tmine v\u00f5i isegi \u00fche osamakse tasumine, mis \u00fcletab kaheksandiku kogu toodete hinnast, siis ostja kaotab eelise maksete tasumisel. osamaksetena ja BALTCOMil on \u00f5igus viivitamata taotleda j\u00e4relej\u00e4\u00e4nud j\u00e4\u00e4ksumma maksmist v\u00f5i teise v\u00f5imalusena l\u00f5petada leping toodete viivitamatu tagastamisega ja s\u00e4ilitada juba makstud osamakse h\u00fcvitisena, v\u00e4lja arvatud juhul, kui h\u00fcvitise maksed.<\/li>\n<\/ul>\n

                     <\/p>\n

                    10. Garantii<\/p>\n

                      \n
                    • 10.1 BALTCOMi tarnitud toodetele kehtib normaalse kasutamise garantii ja vastavalt toote kasutusjuhendile 5 (viis) aastat alates samade toodete arve esitamise kuup\u00e4evast rikete ja \/ v\u00f5i tootmisdefektide ja \/ v\u00f5i materjalide osas mis vastavad iga tootega seotud BALTCOMi n\u00f5uetele. Garantiitingimused on saadaval saidil www.BALTCOM.ee<\/li>\n
                    • 10.2 V\u00e4\u00e4ramatu j\u00f5u (v\u00e4lk, \u00fcleujutus jne) tagaj\u00e4rjel tekkinud defektide, v\u00e4lja arvatud juhendis nimetatud toodete, ja \/ v\u00f5i nende tarvikute v\u00e4\u00e4rkasutamise tagaj\u00e4rjel tekkinud kahju eest ei v\u00f5eta garantiid. Garantii alla ei kuulu ka patareid ja akud.<\/li>\n
                    • 10.3 VARASEMAS PUNKTIDES 10.1 JA 10.2 OSUTATUD GARANTII KEHTIVAD V\u00c4LJA J\u00c4TKAMISEL KORRALDAMISEL JA \/ V\u00d5I MISTE MUUTUSTE, REMONTIDE JA \/ V\u00d5I MUUDATUSTE KOHTA TOODETELE, MIDA MIDAGI INIMESED V\u00d5I TEHNIKAD TEAVAD, MIS EI OLE NENDE NING M\u00d5NED TEAVAD, MIS EI OLE MITTE MIDAGI TEENUSTATUD \u201cBALTCOM OU\u201d J\u00c4RGI JA \/ V\u00d5I DEFEKTID, MIS P\u00d5HJENDASID VASTAVAT V\u00d5I T\u00c4PSETT PAIGALDAMIST.<\/li>\n
                    • 10.4 \u00dclaltoodu kirjeldab BALTCOMi \u00fcldist vastutust BALTCOMi tarnitud toodete puuduste ja n\u00f5uetele mittevastavuse eest.<\/li>\n<\/ul>\n

                       <\/p>\n

                      11. Kohaldatav \u00f5igus ja kohtualluvus<\/p>\n

                        \n
                      • Tingimusi ja k\u00f5iki nende m\u00f5jusid reguleerib Eesti seadus. Pooled p\u00fc\u00fcavad lahendada k\u00f5ik vaidlused, mis v\u00f5ivad tekkida \u00fcksikute korralduste tulemusel v\u00f5i nendega seoses, l\u00e4bir\u00e4\u00e4kimiste teel heas usus ja vastastikuse koost\u00f6\u00f6 vaimus. K\u00f5ik vaidlused, mida ei suudeta s\u00f5bralikult lahendada, kuuluvad Tallinna (Eesti) kohtu ainup\u00e4devusse ja sellest hoolimata on BALTCOM OU-l alati \u00f5igus algatada ostja vastu hagi v\u00f5i menetlus p\u00e4devates kohtutes. Kaupade rahvusvahelise m\u00fc\u00fcgi lepingute rahvusvaheline konventsioon ei kehti \u00fchegi pakkumise, tellimuse ja lepingu suhtes.<\/li>\n<\/ul>\n

                         <\/p>\n

                        12. T\u00f6\u00f6 m\u00e4\u00e4ramine ja h\u00fcvitamine<\/p>\n

                          \n
                        • Ostjal ei ole \u00f5igust loovutada \u00fchest tellimusest tulenevaid \u00f5igusi ega kohustusi ilma BALTCOMi eelneva kirjaliku n\u00f5usolekuta. Ostjal ei ole \u00f5igust makseid kinni pidada v\u00f5i neid v\u00e4hendada v\u00f5i tasaarvestada praegusi v\u00f5i tulevasi n\u00f5udeid maksetega, mis tulenevad toodetest, mida m\u00fc\u00fcakse tellimuse alusel v\u00f5i m\u00f5ne muu lepingu alusel, mille ostja v\u00f5ib olla s\u00f5lminud BALTCOMi v\u00f5i nende t\u00fctarettev\u00f5tetega, ja n\u00f5ustub maksma kokkulepitud summasid hoolimata ostja esitatud v\u00f5i tema nimel esitatud kaebustest v\u00f5i h\u00fcvitisen\u00f5uetest.<\/li>\n<\/ul>\n

                           <\/p>\n

                          13. Konfidentsiaalsus<\/p>\n

                            \n
                          • Ostja tunnistab, et kogu BALTCOMi ostjale edastatud tehniline, \u00e4ri- ja finantsteave on konfidentsiaalne. Seet\u00f5ttu ei avalda Ostja seda teavet kolmandatele isikutele ega kasuta nimetatud konfidentsiaalset teavet muudel eesm\u00e4rkidel kui pooled omavahel kokku leppinud ja vastavalt igas \u00fcksikus tellimuses ette n\u00e4htud ostutehingutele.<\/li>\n<\/ul>\n

                             <\/p>\n

                            14. Mitmesugused<\/p>\n

                              \n
                            • Juhul kui kohus loeb \u00fchte v\u00f5i mitut nende tingimuste s\u00e4tet tulevaste \u00f5iguslike v\u00f5i haldusmeetmete osas kehtetuks v\u00f5i ebat\u00f5husaks, j\u00e4\u00e4vad muud s\u00e4tted kehtima ning kehtetuks v\u00f5i ebat\u00f5husaks peetud s\u00e4tted asendatakse s\u00e4tetega, mis kajastavad Poolte esialgne kavatsus seadusega lubatud ulatuses. Kummaski lepingupooles \u00fchegi korraldusega ette n\u00e4htud \u00f5iguse v\u00f5i parandusmeetme rakendamata j\u00e4tmine v\u00f5i viivitamine ei t\u00e4henda loobumist samast, samuti ei v\u00e4lista selle osaline t\u00e4itmine \u00fchtki muud v\u00f5i tulevast \u00f5igust kasutada nimetatud \u00f5igusi v\u00f5i \u00f5iguskaitsevahendeid j\u00e4rjekorras ja \/ v\u00f5i seadusega.<\/li>\n<\/ul>\n

                               <\/p>\n

                              15.Vastutuse \u00fcldine ja sellega kaasnevate kulude piiramine<\/p>\n

                              • Kui k\u00e4esolevas alapunktis ei ole s\u00e4testatud teisiti, ei vastuta BALTCOM ostja ees:
                                \na) kasumi, \u00e4ri, lepingute, v\u00f5imaluse, firmav\u00e4\u00e4rtuse, tulude, eeldatava kokkuhoiu, kulude, kulude v\u00f5i muu sarnase kaotuse kaotus: ja \/ v\u00f5i
                                \nb) igasugune kaudne, eriline v\u00f5i tulenev kaotus v\u00f5i kahjustus (kasumi kaotamise v\u00f5i muul viisil); kas p\u00f5hjustatud lepingust v\u00f5i sellega seotud hooletusest, lepingu rikkumisest, \u00f5igusvastasest toimingust, BALTCOMi, selle t\u00f6\u00f6tajate v\u00f5i esindajate seadusj\u00e4rgsete kohustuste rikkumisest v\u00f5i muul viisil.<\/li>\n<\/ul>\n

                                General Sales Conditions<\/strong><\/p>\n

                                  \n
                                1. Applicability<\/li>\n<\/ol>\n
                                    \n
                                  • 1.1 These general conditions of sale (\u201cConditions\u201d) apply and form an integral part of all quotations, offers, order confirmations and contracts signed by BALTCOM OU (\u201cBALTCOM\u201d or \u201cSales\u201d) with the buyer (the \u201cBuyer\u201d) in relation to the sale by BALTCOM and purchase by the Buyer of products (the \u201cProducts\u201d).
                                    \n1.2 Any change to these Conditions must be agreed between BALTCOM and the Buyer (the \u201cParties\u201d) and approved in writing.<\/li>\n<\/ul>\n

                                     <\/p>\n

                                      \n
                                    1. Act of sale<\/li>\n<\/ol>\n
                                        \n
                                      • 2.1 The request to sell Products is undertaken \u201con the seller\u2019s approval\u201d and is considered irrevocable for a period of 1 (one) month from the date of the order. This request will be considered a request for execution without prior acceptance, from the date of the receipt of the order by BALTCOM.<\/li>\n
                                      • 2.2 The products indicated in individual orders and the relative accessories, will be supplied to the Buyer by BALTCOM with a \u201cretention of title\u201d; in this case the title of the Products will pass to the Buyer only when full payment of the purchase price of the Products is made, while any possible risk of losing the Products will be the responsibility of the Buyer from the time of delivery of the Products by BALTCOM even to the carrier in accordance with the agreed INCOTERMS.<\/li>\n
                                      • 2.3 Notwithstanding the foregoing, the Parties agree that any damage caused to the Products and the relative accessories for any reasons not attributable to BALTCOM, does not release the Buyer from the obligation to pay even in the event the Products have not yet been delivered to the Buyer.<\/li>\n
                                      • 2.4 BALTCOM reserves the right to change or withdraw their Products from the market at any time and without notice.<\/li>\n<\/ul>\n

                                         <\/p>\n

                                          \n
                                        1. Prices<\/li>\n<\/ol>\n
                                            \n
                                          • 3.1 The prices in this list will be applied to orders, quotations and purchase contracts for Products, the said prices are for single units, except for some Products where otherwise specified in the price list. The Parties will have the right to agree on any exceptions and\/or special conditions of sale in writing.<\/li>\n
                                          • 3.2 The Parties also agree that the following conditions will apply:
                                            \n(I) Minimum order \u20ac750 (seven hundred and fifty) abroad;
                                            \n(II) Orders under \u20ac750 (seven hundred and fifty), if accepted will be subject to a further charge of \u20ac50 (fifty) for operating expenses;
                                            \n(III) Delivery FCA (INTERCOMS);<\/li>\n
                                          • 3.3 The above prices do not include VAT and installation costs for the Products.<\/li>\n<\/ul>\n

                                             <\/p>\n

                                              \n
                                            1. Currency<\/li>\n<\/ol>\n
                                                \n
                                              • Prices are expressed in EURO (excluding VAT). Invoices will be issued in EURO.<\/li>\n<\/ul>\n

                                                 <\/p>\n

                                                1. Special Orders<\/li>\n<\/ol>\n
                                                    \n
                                                  • Products can be supplied to the Buyer in non-standard colours and with special orders. The price, minimum order quantity and delivery times and conditions will be agreed case by case in relation to the order and\/or quotation in question.<\/li>\n<\/ul>\n

                                                     <\/p>\n

                                                      \n
                                                    1. Transportation<\/li>\n<\/ol>\n
                                                        \n
                                                      • 6.1 BALTCOM does not assume any responsibility in relation to any damage and\/or loss of Products in transport except in the event the Products are delivered at place.<\/li>\n
                                                      • 6.2 BALTCOM will have the right to establish the method of transport of the Products, except in the event the Parties have previously established the method of transport in writing.<\/li>\n
                                                      • 6.3 The Buyer undertakes to check the condition of the Products upon delivery and make any claim and\/or action to the courier directly in the event of any loss, theft, damage or delays in transportation and\/or delivery methods of the Products.<\/li>\n<\/ul>\n

                                                         <\/p>\n

                                                          \n
                                                        1. Complaints<\/li>\n<\/ol>\n
                                                            \n
                                                          • 7.1 In the event the Buyer detects any faults and\/or defects in the Products, the Buyer undertakes to send BALTCOM written notice of the same via recorded delivery within and not later than 8 (eight) days from receipt of the goods, upon penalty of loss of the BALTCOM warranty conditions. In this case the allegedly defective Products indicated in the compliant made within the established deadlines must be returned to BALTCOM, once the Buyer has received specific written authorisation from BALTCOM to do so.<\/li>\n
                                                          • 7.2 No complaint can be made by the Buyer if full payment has not been made for the same goods referred to in the complaint.<\/li>\n
                                                          • 7.3 If the complaint made by the Buyer is acknowledged as valid, BALTCOM can make the necessary repairs and\/or replace the Products at their sole discretion, with the exclusion of any other charge, obligation or indemnity against BALTCOM. The Products to be returned must be sent to the BALTCOM OU plant in Via Pratese no.164 Tallinn.<\/li>\n
                                                          • 7.4 In the event the Products returned by the Buyer are not found to have any faults and\/or defects after being checked, BALTCOM reserves to issue a debit note for management practice of \u20ac 50; the defective products will remain at customer disposal for 30 days, after that BALTCOM reserves to discard them.<\/li>\n<\/ul>\n

                                                              \n
                                                            1. Delivery<\/li>\n<\/ol>\n
                                                                \n
                                                              • 8.1 The Parties agree that the terms established for delivery of the Products must not be considered mandatory or binding and in any case all terms are intended solely for the benefit of BALTCOM, except where otherwise agreed in writing between the Parties.<\/li>\n
                                                              • 8.2 In the event of delays in delivery, 15 (fifteen) days after the agreed delivery date the Buyer can send BALTCOM written notice to comply with the delivery within a further deadline of no less than 15 (fifteen) days from receiving the same notice. If this further deadline is not met and BALTCOM has still not complied with the delivery, the Buyer can withdraw from the order for Products that have not been delivered. In this case, the Buyer will only have to pay BALTCOM for the Products that have actually been delivered, excluding any compensation and\/or indemnity to the Buyer.<\/li>\n
                                                              • 8.3 BALTCOM is not responsible for any failure to deliver or delays in delivery of Products that are caused by events outside their reasonable control including but not limited to failure to deliver or delays in deliveries of processing materials from suppliers, plant breakdowns, strikes and other industrial action, power failures and transport interruptions or difficulties.<\/li>\n
                                                              • 8.4 If the Buyer is not able to receive the delivery of the ordered Products, BALTCOM will have the right to entrust the Products to storage at the Buyer\u2019s expense.<\/li>\n<\/ul>\n

                                                                 <\/p>\n

                                                                  \n
                                                                1. Payment<\/li>\n<\/ol>\n
                                                                    \n
                                                                  • 9.1 Payment of the price must be made by the Buyer in accordance with the terms and conditions detailed in the order with payments payable exclusively to BALTCOM OU\u201d.<\/li>\n
                                                                  • 9.2 BALTCOM acknowledges the validity of payments only if they are made in accordance with the provisions detailed in the previous article 9.1; this implies that any payments made in any other way will not be considered made by the Buyer. Acceptance of any drafts or other effects of trade by BALTCOM will be considered completed with the clause \u201csubject to final payment\u201d.<\/li>\n
                                                                  • 9.3 In the event of payment after the established terms, the Parties agree that BALTCOM will receive current bank interest rates. Interests will be charged by law without the need for BALTCOM to send formal notice to the Buyer.<\/li>\n
                                                                  • 9.4 Furthermore, in the event delays in payment exceed15 (fifteen) days BALTCOM will have the right to rescind the order in accordance with article 1456 of the Estonian Civil Code by sending written notice, except in the event of any compensation payments.<\/li>\n
                                                                  • 9.5 In the event the Parties agree on a method of payment in instalments for the Products, failure to pay the instalments or even one instalment that exceeds an eighth of the total price of the Products will mean that the Buyer will lose the benefit of paying in instalments and BALTCOM will have the right to immediately request the remaining balance payment or alternatively, at their own discretion, to terminate the contract with immediate return of the Products and keep the instalments that have already been paid as compensation, except in the event of any compensation payments.<\/li>\n<\/ul>\n

                                                                      \n
                                                                    1. Warranty<\/li>\n<\/ol>\n
                                                                        \n
                                                                      • 10.1 Products supplied by BALTCOM are covered by a warranty for normal use and in compliance with the Product user manual for a period of 5 (five) years from the invoice date of the same Products for any faults and\/or manufacturing defects and\/or materials that comply with BALTCOM requirements relating to every single Product. Warranty terms and conditions are available on www.BALTCOM.ee<\/li>\n
                                                                      • 10.2 Any defects due to force majeure (lightning, flooding etc.) are excluded from any kind of warranty as well all damage caused by improper use of the Products and\/or the relative accessories, other than that indicated in the manual. Batteries and accumulators are also excluded from the warranty.<\/li>\n
                                                                      • 10.3 THE WARRANTY DETAILED IN THE PREVIOUS POINTS 10.1 AND 10.2 IS VOID WITHOUT EXCEPTION IN THE EVENT OF TAMPERING AND\/OR BY ANY CHANGES, REPAIRS AND\/OR MODIFICATIONS TO ANY PRODUCTS CARRIED OUT BY ANY PEOPLE OR TECHNICIANS THAT ARE NOT EXPRESSELY AUTHORISED TO DO SO BY \u201cBALTCOM OU\u201d AND\/OR DEFECTS CAUSED BY INCORRECT OR INACCURATE INSTALLATION OF PRODUCTS.<\/li>\n
                                                                      • 10.4 The above outlines the overall responsibility of BALTCOM in connection to defectiveness and non-compliance of Products supplied by BALTCOM.<\/li>\n<\/ul>\n
